These Terms of Service ("Terms") are a binding agreement between MioDio LLC, a Florida limited liability company ("MioDio," "we," "us"), and you or the entity or automated agent on whose behalf you act ("you"). They govern your use of the Meridian API at meridian.miodiollc.com (workers.miodiollc.com remains a permanent alias), its documentation, the Meridian MCP package, and related endpoints (together, the "Service").
By sending a request to the Service, completing an x402 payment, or using the MCP package, you agree to these Terms. A link to these Terms is included in every HTTP 402 payment challenge, in the API documentation, and in the MCP package README, and signing a payment authorization after receiving that challenge is your affirmative acceptance. If you deploy an AI agent or other software that calls the Service, you agree to these Terms on its behalf and are responsible for its conduct. If you do not agree, do not use the Service.
IMPORTANT: SECTION 14 CONTAINS A BINDING ARBITRATION AGREEMENT AND CLASS-ACTION WAIVER. SECTIONS 10–12 LIMIT OUR LIABILITY. SECTION 7 STATES THAT PAYMENTS ARE NON-REFUNDABLE EXCEPT AS DESCRIBED.
1.1 You must be at least 18 years old and able to form a binding contract. If you use the Service for an organization, you represent that you have authority to bind it, and "you" includes that organization. 1.2 The Service is designed for developers, businesses and automated agents. It is not offered for personal, family or household purposes. 1.3 You may not use the Service if you are (a) located in, organized under the laws of, or ordinarily resident in a country or region subject to comprehensive U.S. sanctions; (b) on, or owned 50% or more by persons on, the OFAC Specially Designated Nationals and Blocked Persons List or any other U.S. government restricted-party list; or (c) otherwise prohibited from receiving services from a U.S. person.
2.1 Meridian returns informational "cards" derived from public data, including Aave v3 position risk, ERC-4626 vault risk, Lido stETH exit risk, combined "deep passport" cards, exact-match screening of digital-currency addresses against public U.S. Treasury OFAC SDN list entries, a parameter-drift check that compares a caller-supplied intent against a caller-supplied unsigned transaction or EIP-712 payload, a transaction-simulation dry run of a caller-supplied unsigned transaction against public chain state, and an on-chain USDC payment-check of a caller-supplied authorization, transfer window, or transaction hash.
2.2 Cards are generated automatically from public blockchain reads (via third-party RPC providers), public government lists, and (for the drift and simulation checks) the unsigned transaction bytes you send, as they stood when last fetched. Data may be delayed, incomplete, inaccurate or unavailable, and the Service may change or be discontinued at any time without notice.
2.3 No account is required. Access is granted per request upon valid payment. We may add, change, rate-limit, or remove routes, fields, pricing, supported networks, or payment methods at any time.
2.4 Parameter-drift checks compare only the fields you supply. A verdict of "match" means the decoded unsigned transaction or EIP-712 payload agrees with the intent object in that request. It does not mean the intent was authentic, complete, current, or safe (for example if the intent itself was compromised, incomplete, or injected). Unknown or undecoded calldata is reported as "cannot_verify", never as "match".
2.5 Transaction simulation is a point-in-time dry run, not a guarantee. The simulation route receives the full unsigned transaction you send (from, to, value, data, and optional gas) and optionally the same intent object used by the drift check. Third-party RPC providers process that payload against chain state at the simulated block. The reported success or revert, gas, balance changes and approvals can differ at inclusion because of MEV, oracle moves, upgrades, or any later state change. A simulation is not a recommendation to sign or send. Meridian never signs transactions, never holds private keys, and never moves funds on your behalf.
2.6 Signed receipts are a record of what was returned, not a guarantee. After a paid call settles, Meridian may attach a signed Meridian-Receipt covering a request hash, a response hash, a short verdict summary, the settled or advertised route price, amount, asset and payTo, payer, settle transaction, network, and time. Those money fields come from settlement or the advertised route terms, not from the client's payment header. A receipt proves what this API returned at that moment. It is not a payment, not reusable for a free call, and not a warranty that the underlying data was correct or that any later state matches. Third parties verify the Ed25519 signature against /.well-known/meridian-receipt-keys.json and should also confirm the on-chain USDC Transfer on Base.
2.7 Payment-status and payment-check answers are informational and point-in-time. GET /v1/payment/status reports only whether Meridian has a record of a payment to us (or that a proof was seen). POST /v1/payment-check reads public Base USDC state for any payer. KV and RPC can lag; a chain can reorganize; not_found or unknown is never a determination that you did not pay. Meridian does not handle refunds through these routes — you decide whether to retry. Duplicate or failed paid calls remain subject to Section 7.
3.1 The Service is informational only. Nothing in the Service is financial, investment, trading, legal, tax, accounting or regulatory compliance advice, a recommendation to buy, sell, hold, borrow, lend, stake, withdraw or transact in any asset or with any person, or an offer or solicitation of any kind. Scores, labels such as "ALLOW," "CAUTION," "BLOCK," "high risk" or "low risk," APY estimates and ETAs are heuristic outputs, not guarantees or opinions about any person. 3.2 MioDio is not a registered investment adviser, broker-dealer, money transmitter, consumer reporting agency, or sanctions-compliance provider. You are solely responsible for your decisions and for verifying all information independently, including on-chain.
4.1 Sanctions cards perform an exact string match of a digital-currency address against "Digital Currency Address" fields published in the OFAC SDN List (or, when the snapshot's source is the official ITA Consolidated Screening List, those same OFAC fields as republished there) as of the snapshot date shown in the response. They do not screen names, entities, ownership (including OFAC's 50 Percent Rule), indirect exposure, transaction history, clustering, other jurisdictions' lists (EU, UK, UN), or non-SDN OFAC lists, unless the response expressly says so. 4.2 A "no match" result does not mean an address, person or transaction is not sanctioned, not blocked, or lawful to deal with. A "match" result does not by itself establish that any person is sanctioned. Verify against official OFAC sources (sanctionssearch.ofac.treas.gov) before acting. 4.3 The Service is not a substitute for your own sanctions compliance program. You remain solely responsible for compliance with OFAC regulations (31 C.F.R. Chapter V), the Bank Secrecy Act, and all other laws applicable to you. Do not use any result as the sole basis to block, reject or report a person or transaction, or for any eligibility decision covered by the Fair Credit Reporting Act (15 U.S.C. § 1681 et seq.). The Service is not a "consumer report."
You will not, and will not permit any agent or person to: (a) use the Service to violate any law, including sanctions, export control, anti-money-laundering, securities, commodities, consumer protection or privacy laws; (b) use the Service to facilitate fraud, market manipulation, theft, exploits, or evasion of sanctions or compliance controls (including testing which addresses evade screening); (c) bypass, replay, forge or tamper with payment challenges, receipts, rate limits or access controls, or exploit any bug instead of reporting it; (d) send malicious code, or requests designed to degrade, overload or attack the Service or its upstream providers; (e) resell, sublicense, or redistribute raw outputs in bulk as a competing dataset or API, or scrape the Service to build one, without our written consent (incorporating outputs into your own product's decisions is permitted); (f) misrepresent outputs as advice, certification, or an official government determination, or as endorsed by MioDio; (g) use the Service to make decisions about individuals' eligibility for credit, insurance, employment, housing or similar purposes; or (h) submit personal data of others in violation of law (for example, names or emails in fields meant for addresses). We may block, throttle or refuse any request, address, IP or agent that we believe violates this Section, without refund for the offending requests.
6.1 Requests are priced per call and paid using the x402 protocol (HTTP 402 Payment Required) in USDC on the Base network, or other methods we list. The current price for each route is stated in the 402 challenge returned before payment; the price in the challenge you sign controls. Prices may change at any time for future requests. 6.2 You are responsible for your wallet, private keys, signing software, agent spending limits, network fees, and the accuracy of any payment you authorize. Blockchain transactions are irreversible; we cannot reverse, cancel, or recover payments sent to the wrong address or in the wrong amount or asset. 6.3 Payments may be settled through third-party facilitators. We are not responsible for the acts, omissions or availability of facilitators, blockchains, stablecoin issuers (including Circle Internet Financial for USDC), or wallets. 6.4 Prices are exclusive of taxes. You are responsible for any taxes applicable to your purchases, other than taxes on our net income. 6.5 MioDio accepts digital assets only as payment for its own services. We do not hold funds for you, provide custody, exchange assets, or transmit money on your behalf.
7.1 Each paid call is a purchase of a digitally delivered, immediately consumed data response. All payments are final and non-refundable, except as stated in 7.2 or required by law. 7.2 If you were charged (settlement confirmed on-chain) but the Service returned a 5xx server error, or no response, for that paid request, you may request a credit or refund within 30 days by emailing corp@miodiollc.com with the transaction hash, route, and timestamp. We verify against on-chain records and, at our discretion, refund the amount of the failed call in USDC on Base to the paying address, or a service credit. Refunds are not available for: responses that returned successfully but with data you disagree with, "unavailable"/"partial" fields that the response discloses, client errors (4xx) caused by your request, or price changes. Duplicate payments for the same request identifier are refunded on request. 7.3 Refunds are limited to the amount paid for the affected call(s) and are your sole remedy for failed calls.
8.1 We and our licensors own the Service, its software, documentation, scoring methods and branding. Subject to these Terms and your payment, we grant you a limited, non-exclusive, non-transferable, revocable license to use each paid response for your internal business purposes and within your own products and agents, consistent with Section 5(e). 8.2 Underlying public data (blockchain state, U.S. government publications) is not owned by us; our compilation, selection, scoring and presentation are. 8.3 The MCP package and example code are licensed under the license file in their repository; if that license conflicts with these Terms as to the code itself, that license controls for the code. Use of the hosted Service through that code is still governed by these Terms. 8.4 If you send feedback or suggestions, we may use them without obligation to you.
The Service relies on third parties, including Cloudflare (hosting), blockchain RPC providers, payment facilitators, the Base network, Circle (USDC), GitHub, the U.S. Treasury (OFAC SDN data source), and the U.S. Department of Commerce International Trade Administration (Consolidated Screening List, official fallback). We do not control and are not responsible for them. Links to third-party sites are for convenience only.
THE SERVICE AND ALL OUTPUTS ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITH ALL FAULTS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, MIODIO DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND QUIET ENJOYMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, TIMELY, OR THAT ANY OUTPUT IS ACCURATE, COMPLETE OR CURRENT, OR THAT ANY ADDRESS IS OR IS NOT SANCTIONED.
11.1 TO THE MAXIMUM EXTENT PERMITTED BY LAW, MIODIO AND ITS MEMBERS, MANAGERS, EMPLOYEES, CONTRACTORS AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DIGITAL ASSETS, FUNDS, DATA, GOODWILL, OR BUSINESS, OR LIQUIDATION, TRADING, OR REGULATORY LOSSES, OR PENALTIES, ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY. 11.2 OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (US$100). 11.3 These limits are an essential basis of the bargain and apply even if a limited remedy fails of its essential purpose. They do not limit liability that cannot be limited under applicable law, including for our fraud or intentional misconduct.
You will defend, indemnify and hold harmless MioDio and its members, managers, employees and contractors from any claims, losses, liabilities, damages, fines, penalties, costs and expenses (including reasonable attorneys' fees) arising from (a) your or your agents' use of the Service or outputs, (b) decisions or transactions you make based on outputs, (c) your violation of these Terms or any law, or (d) your violation of any third party's rights.
We may suspend or terminate access for any person, wallet, IP or agent at any time, with or without notice, including for suspected violation of these Terms or legal requirements. Sections 3, 4, 6.2–6.5, 7, 8.2, 9–12, 14–16 survive.
14.1 Informal resolution. Before filing any claim, you agree to email corp@miodiollc.com with a description of the dispute, the relief sought, and relevant transaction hashes, and to try in good faith to resolve it for 30 days. Any statute of limitations is tolled during this informal resolution period. 14.2 Arbitration. Any dispute, claim or controversy arising out of or relating to these Terms or the Service that is not resolved informally will be resolved by final and binding arbitration administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules (or, if AAA determines its Consumer Arbitration Rules apply, those rules), before a single arbitrator. The Federal Arbitration Act (9 U.S.C. § 1 et seq.) governs this Section; to the extent not inconsistent, the Revised Florida Arbitration Code (Fla. Stat. ch. 682) applies. The seat and venue of arbitration is Seminole County, Florida, but the arbitrator may allow hearings by video or on written submissions, and any claim under US$10,000 will be decided on documents unless the arbitrator decides otherwise. The arbitrator decides arbitrability, except that a court decides the enforceability of the class-action waiver in 14.4. Judgment on the award may be entered in any court of competent jurisdiction. 14.3 Exceptions. Either party may (a) bring an individual claim in small claims court (in Florida, county court actions of $8,000 or less under Fla. Sm. Cl. R. 7.010) in Seminole County, Florida, or in the small claims court where you reside, if it qualifies, or (b) seek injunctive relief in court for infringement or misuse of intellectual property or unauthorized access to the Service. 14.4 Class-action waiver. YOU AND MIODIO EACH WAIVE THE RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN A CLASS, COLLECTIVE, CONSOLIDATED OR REPRESENTATIVE ACTION. Claims may be brought only individually. If this waiver is found unenforceable as to a claim, that claim must be severed and brought in court, and not in arbitration. 14.4.1 Fees. MioDio will pay any AAA filing, administrative and arbitrator fees above the amount you would pay to file in court, and will not seek its attorneys' fees from you unless the arbitrator finds your claim frivolous. 14.4.2 Mass filings. If 25 or more similar demands are filed by the same or coordinated counsel within 90 days, they will be administered in batches of up to 50, each with one arbitrator and one set of fees. 14.5 Opt-out. You may opt out of arbitration within 30 days of first using the Service by emailing corp@miodiollc.com with subject "Arbitration Opt-Out," your name, and the paying wallet address(es). 14.6 Time limit. Any claim must be brought within the limitations period provided by applicable law. (A shorter contractual period is not used because Fla. Stat. § 95.03 voids it.) 14.7 Venue for court proceedings. For any matter permitted in court, you and MioDio consent to the exclusive jurisdiction and venue of the state courts located in Seminole County, Florida, and the United States District Court for the Middle District of Florida (Orlando Division).
These Terms are governed by the laws of the State of Florida, without regard to conflict-of-laws rules, and by applicable U.S. federal law. The U.N. Convention on Contracts for the International Sale of Goods does not apply.
16.1 Export and sanctions. You will comply with U.S. export control and sanctions laws and will not use, export or provide access to the Service in violation of them. 16.2 Changes. We may update these Terms by posting a new version with a new "Last updated" date. Changes apply to requests made after posting. Material changes to Section 14 will not apply to disputes already notified to us. 16.3 Entire agreement; severability; no waiver; assignment. These Terms, the Privacy Policy and the Disclaimer are the entire agreement on this subject. If any provision is unenforceable, it is modified to the minimum extent needed and the rest remains in effect. Failure to enforce is not a waiver. You may not assign these Terms; we may assign them in connection with a merger, acquisition, or sale of assets. 16.4 Force majeure. We are not liable for delays or failures caused by events beyond our reasonable control, including blockchain congestion or forks, stablecoin depegs or freezes, facilitator, RPC or cloud outages, government action, or changes to public data sources. 16.5 Electronic communications; automated agents. You consent to electronic notices and agree that requests and payments made by your software or agents are your authorized acts and constitute electronic signatures under the federal E-SIGN Act and Florida's Uniform Electronic Transaction Act (Fla. Stat. § 668.50). 16.6 No third-party beneficiaries. No relationship of partnership, agency or fiduciary duty is created. 16.7 Copyright complaints (DMCA).
